Terms of Service

By accessing or using Eclipse Drywall's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms constitute a legally binding agreement between you and Eclipse Drywall. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.

Our Services Include:

• Commercial drywall installation and finishing
• Residential drywall installation and finishing
• New construction drywall services
• Renovation and remodeling drywall work
• Drywall repair and restoration
• Home addition drywall services

Service Scope

All services are provided in accordance with industry standards and applicable building codes in Kent, Ottawa, and Muskegon Counties, Michigan.

Quote Process

• Estimates are provided free of charge
• Quotes are valid for 30 days unless otherwise specified
• Final pricing may vary based on site conditions and project changes
• A written contract is required before work begins
• Changes to project scope require written approval and may affect pricing

Binding Agreements

Quotes become binding only upon execution of a written service agreement by both parties.

Payment Structure

• Deposit may be required before project commencement
• Progress payments may be scheduled for larger projects
• Final payment is due upon project completion
• Accepted payment methods: check, cash, bank transfer, credit card
• Late payments may incur interest charges

Disputes

Payment disputes must be raised in writing within 10 days of invoice date. We reserve the right to place a lien on property for unpaid services as permitted by Michigan law.

Scheduling

We will make reasonable efforts to complete projects within agreed timelines. However, completion dates are estimates and may be affected by:

• Weather conditions
• Material availability
• Site access and conditions
• Changes to project scope
• Circumstances beyond our control

Delays

Eclipse Drywall is not liable for delays caused by factors outside our reasonable control.

Our Warranty

We warrant that our work will be performed in a professional and workmanlike manner in accordance with industry standards. Our warranty covers:

• Defects in workmanship for 1 year from completion
• Material defects as covered by manufacturer warranties
• Tape joints and finishing quality

Warranty Exclusions

This warranty does not cover:

• Normal wear and tear
• Damage caused by improper maintenance
• Damage from water, fire, or other external causes
• Settling or structural issues not related to our work
• Work performed by other contractors

Liability Cap

Eclipse Drywall's total liability for any claim arising from our services is limited to the amount paid for the specific service giving rise to the claim.

Exclusions

We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or business opportunities
• Damage to property not directly caused by our negligence
• Acts of God, natural disasters, or force majeure events

Insurance

Eclipse Drywall maintains appropriate liability insurance. Proof of insurance is available upon request.

You Agree To:

• Provide clear access to work areas
• Ensure utilities are available as needed
• Remove or protect personal property
• Provide accurate information about property conditions
• Obtain necessary permits (unless otherwise agreed)
• Notify us promptly of any concerns during work

Site Conditions

You are responsible for disclosing known hazards including asbestos, mold, or structural issues.

Cancellation Policy

• Written notice required for cancellation
• Cancellation more than 48 hours before start: Full refund of deposit
• Cancellation within 48 hours of start: 50% deposit refund
• Cancellation after work begins: No refund, payment for work completed

Our Right to Cancel

We reserve the right to cancel projects due to non-payment, unsafe site conditions, or client misconduct. In such cases, payment is due for work completed.

All content on the Eclipse Drywall website, including text, graphics, logos, and images, is our property or used with permission. You may not reproduce, distribute, or use our content without written permission.

You agree to indemnify and hold Eclipse Drywall harmless from any claims arising from:

• Your breach of these terms
• Your violation of any law or regulation
• Your violation of third-party rights
• Undisclosed site conditions or hazards

Governing Law

These terms are governed by the laws of the State of Michigan.

Resolution Process

• Good faith negotiation: Parties will attempt to resolve disputes through direct communication
• Mediation: If negotiation fails, disputes will be submitted to mediation
• Arbitration or Litigation: Unresolved disputes may proceed to arbitration or small claims court in Kent County, Michigan

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

These Terms of Service, together with any written service agreement, constitute the entire agreement between you and Eclipse Drywall regarding our services.
